Preface
Shub Connect provides a digital platform that facilitates temporary and flexible work arrangements. Businesses registered with Shub Connect (“Company Users”) can post job assignments, manage workers, and engage individuals seeking flexible employment (“Employee Users”). In addition, a premium service (“Company Plus”) allows businesses to manage their own workforce and to supplement their staffing with external workers when required. These Terms and Conditions govern the relationship between Shub Connect and its users. The document is segmented to identify rights and obligations specific to each user category and to clearly state those provisions that apply to all users. Compliance with the Nigeria Data Protection Act (NDPA), the Nigeria Data Protection Regulation (NDPR), the Labour Act and other applicable laws is mandatory. Shub Connect operates as an intermediary and does not employ the individuals who undertake assignments. Workers perform services under the direction and control of the engaging company.
A1. Definitions
• Account: The registration profile each user (whether a Company, Company Plus or Employee) creates to access the Shub Connect platform.
• Assignment: A description of work posted on the platform, including duties, location, timing and pay rate. • Company User: A business that registers with Shub Connect to engage Employee Users for temporary or flexible work.
• Company Plus User: A Company that subscribes to Shub Connect’s premium service to manage its own employees or contractors and to engage external workers as needed.
• Employee User: An individual who registers to undertake Assignments posted by Company or Company Plus users.
• Service Fee: The amount charged by Shub Connect to a Company or Company Plus user for access to the platform and associated services.
• User: Any person or entity with an Account, including Company, Company Plus and Employee users.
A2. Acceptance of Terms
1. Binding Agreement: Accessing or using the Shub Connect platform constitutes acceptance of these Terms. Acceptance occurs when an Employee user accepts an Assignment or a Company user posts an Assignment, and no signature is required. 2. Modifications: Shub Connect may amend these Terms. Material updates will be communicated via email or on the platform. Continued use after notification constitutes acceptance of the revised terms. 3. Eligibility: Company and Company Plus users confirm they have authority to enter into binding contracts. Employee users must be at least eighteen (18+) years of age and legally entitled to work.
A3. Account Management
1. Accurate Information: Users must provide and maintain accurate and complete registration details. Shub Connect may decline to register any user and may suspend accounts if inaccurate or misleading information is provided. 2. Credentials: Users are responsible for safeguarding login credentials. Shub Connect must be informed immediately of any suspected unauthorized use, and accounts may be suspended while issues are investigated. 3. Lawful Use: All users must use the platform in compliance with applicable laws, regulations and shub connect’s codes of practice. Discriminatory or unlawful assignments are prohibited.
A4. Intellectual Property and Confidentiality
1. Ownership: Shub Connect and its licensors retain all intellectual property rights in the platform and associated materials. Users may not copy or adapt any part without consent. 2. User Content: Users retain ownership of the content they upload but grant Shub Connect a licence to use, store and display that content to operate the service. 3. Confidentiality: Each party undertakes not to disclose confidential information obtained through the platform except as required by law or with written consent.
A5. Data Protection
Shub Connect processes personal data in accordance with the NDPA, NDPR and its Privacy Policy. Appropriate security measures are implemented and personal data is processed only for lawful purposes. Cross‑border transfers will comply with NDPA/NDPR conditions. Users must not transmit sensitive personal data via payment descriptions or messages.
A6. Liability and Indemnity (General)
1. Non‑Excludable Liability: Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or other liability that cannot be excluded. 2. Platform Role: The platform provides matchmaking and administrative services only and is not responsible for the performance of Assignments. 3. Limitation: Any liability for losses is limited to the Service Fees paid in connection with the Assignment giving rise to the claim. Shub Connect is not liable for indirect or consequential losses, loss of profits or reputational damage. 4. Indemnity: Users agree to indemnify Shub Connect, its affiliates and personnel against claims, costs or losses arising from their negligence, breach of these Terms or violation of law.
A7. Termination and Suspension
1. User Termination: Users may terminate their Account by notifying Shub Connect. Termination does not affect accrued rights or obligations. 2. Platform Termination: Shub Connect may suspend or terminate access immediately for breach of these Terms, suspected fraud, legal requirements or discontinuation of the service. Shub Connect may cancel assignments but will be liable only for payment for work performed up to cancellation. 3. Survival: Confidentiality, intellectual property, liability and indemnity provisions will survive termination.
A8. Governing Law and Dispute Resolution
These Terms are governed by Nigerian law. Disputes should first be addressed amicably. If unresolved, disputes will be referred to mediation. Failing mediation, courts in Nigeria shall have exclusive jurisdiction.
A9. General Provisions
1. Entire Agreement: These Terms constitute the entire agreement between Shub Connect and users and supersede all prior agreements. 2. Severability: Invalid provisions will be modified or severed while the remainder of the Terms continue in effect. 3. No Agency: Use of the platform does not create a partnership or agency relationship. 4. Third‑Party Rights: No third party shall have rights under these Terms. 5. Assignment: Users may not assign their rights without prior consent; Shub Connect may assign its rights in connection with business transfers.
Part B – Employee Users
The provisions in this Part apply specifically to individuals who register on the platform to undertake Assignments.
B1. Engagement
1. Accepting Assignments: Employees may browse and accept Assignments via the platform. Acceptance constitutes a commitment to perform the specified duties professionally and to follow lawful instructions from the engaging company. 2. No Employment Contract with Shub Connect: Shub Connect is not an employer and does not guarantee any minimum number of assignments or hours. There is no employment contract between Shub Connect and the Employee. 3. Compliance: Employees must ensure they are legally permitted to work and must provide documentation verifying their eligibility. 4. Conduct: Employees must observe workplace policies and maintain professional standards. Confidential information obtained during assignments must not be disclosed. 5. Feedback: Companies may provide ratings and feedback after assignments. Repeated poor performance may lead to suspension or termination of the Employee’s account.
B2. Payment
1. Remuneration: Pay rates are specified in the Assignment. Shub Connect collects payment from the engaging Company and remits it to the Employee, subject to statutory deductions. Payment is typically made within a set period after completion, unless there is a dispute regarding hours or quality. 2. Taxes and Deductions: Shub Connect will deduct taxes or social contributions as required by Nigerian law. Employees are responsible for ensuring their tax affairs are properly managed. 3. No Withholding by Companies: Companies must not withhold payment for reasons unrelated to performance. Unlawful withholding may constitute a breach of these Terms and of Nigerian labour law.
B3. Termination of Assignment
An assignment may be cancelled by the Company or Shub Connect. In such cases, the Employee will be compensated for work performed up to the cancellation date but has no claim for lost future earnings.
Part C – Company Users
The provisions in this Part apply to businesses that post assignments and engage Employee users through the standard service.
C1. Posting Assignments
1. Content of Assignments: Companies must ensure that assignments are accurately described, specifying duties, location, working hours, remuneration and any necessary qualifications or equipment. 2. Compliance with Laws: Assignments must comply with Nigerian labour law, the NDPA/NDPR and any sector‑specific regulations. Assignments must not require employees to perform illegal activities or to replace workers involved in industrial action. 3. Health and Safety: Companies are responsible for providing a safe working environment and, where required, personal protective equipment. 4. On‑Site Control: Employees remain under the direction and control of the Company. Shub Connect does not supervise or control job performance.
C2. Payment to Employees
1. Pay Rates: All pay rates are defined by SHUB Connect and are determined by the specific assignment listing, scope of work, and duration of the engagement published on the platform. 2. Invoice and Payment: SHUB Connect applies an upfront billing model. An aggregated invoice showing the total assignment cost is presented during job creation, and full payment is required before the assignment can be submitted and activated. Non-payment may result in restricted access to platform services. 3. Service Fee (Subscription): Companies agree to pay the Service Fee for use of the platform, as displayed on the platform or set out in a service level agreement. Service Fees are non‑refundable.
C3. Compliance and Indemnity
1. Legal Compliance: Companies warrant that they will comply with all applicable laws, including employment, health and safety, anti‑bribery and anti‑corruption laws. 2. Indemnity: Companies agree to indemnify Shub Connect against claims arising from their negligence, misrepresentation, non‑payment or breach of these Terms.
Part D – Company Plus Users
This Part applies to Companies that subscribe to the premium service allowing them to manage their own workforce via Shub Connect while also accessing external employees for ad‑hoc needs.
D1. Management of Internal Workforce
1. Client Workers: Company Plus users may add their own employees or contractors (“Client Workers”) to the platform to manage schedules and shifts. The employment relationship remains solely between the Company Plus user and the Client Worker. Shub Connect does not assume any employer obligations. 2. Data Accuracy: Company Plus users must ensure that all data uploaded about Client Workers is accurate and that any processing complies with the NDPA/NDPR and Shub Connect’s Privacy Policy. 3. White‑Label Service: Company Plus users may customize the platform using their own branding. All use of the white‑labelled application is subject to these Terms.
D2. Engaging External Employees
1. Ad‑Hoc Engagements: Company Plus users may post assignments to engage external Employee users for events or peak requirements. All provisions of Part C (Posting Assignments) apply. 2. Integration with Third Parties: Shub Connect may integrate the premium service with third‑party tools. Company Plus users acknowledge that third‑party services are governed by separate terms, and Shub Connect is not responsible for any third‑party content or service failures. 3. Indemnity: Company Plus users shall indemnify Shub Connect against claims arising from: (a) breaches of these Terms; (b) employment‑related claims by Client Workers; (c) data‑protection failures; and (d) misuse of the premium service.
D3. Payment and Fees
1. Service Fee: Company Plus users agree to pay the premium Service Fee specified in their service level agreement. 2. Payment Processing: Shub Connect will process payments to external Employee users and invoice the Company Plus user accordingly. Payment terms mirror those in Part C.
